1. Acceptance; eligibility
By checking the acceptance box and creating an account, or by using paid services, you agree to these Terms and the policies incorporated into them. You must be at least 18 (or the age of majority where you live) to create an artist account, upload content, or buy a subscription. You represent that your information is accurate and that you may bind any entity you represent.
2. Service description
The Platform provides user-directed storage, hosting, streaming, and sharing of music, audio, artwork, and related content. Company is a service provider within 17 U.S.C. § 512(k). Content is selected and uploaded by users; Company does not review it before upload and does not endorse it. Private links and recipient settings are technical sharing features, not permission to use copyrighted material. Company is not a licensing service, publisher, record label, or copyright clearance agency. We may modify features, subject to law and any paid commitments.
3. Accounts and security
Keep credentials confidential and tell us promptly of unauthorized activity. We may require verification, restrict suspicious accounts, and keep records as described in the Privacy Policy. You are responsible for activity on your account except where law provides otherwise.
4. Content rights and restrictions
You keep ownership of your content. You must own or hold every right needed to upload, reproduce, transmit, stream, publicly perform, display, and share it, including rights in master recordings, compositions, samples, beats, artwork, names, and likenesses. Attribution, noncommercial use, limited sharing, or a "mixtape" label does not supply permission. Do not upload unauthorized copyrighted content, illegal material, malicious code, impersonations, or content that violates privacy or publicity rights. Do not bypass rights-management measures, use alternate accounts to evade enforcement, or reupload removed content without authorization.
5. Limited operational license
You grant Company a nonexclusive, worldwide, royalty-free license, for as long as the content is hosted plus reasonable technical wind-down, to host, store, reproduce, transcode, stream, publicly perform, transmit, display, and distribute your content only as needed to provide features you select, secure the service, and comply with law. Company may also keep copies of removed material and related records where needed for legal compliance or dispute handling. You warrant you may grant this license. Ownership does not transfer. Advertising that uses your content outside ordinary on-platform service promotion requires separate permission.
6. Copyright compliance
The Copyright Policy and Repeat-Infringer Policy are part of these Terms. We will expeditiously disable access to material identified in a compliant notice or where we have knowledge or awareness requiring action, and may suspend or terminate accounts in appropriate circumstances. Good-faith removal is not a breach of these Terms or this Agreement, and you release Company from claims arising from good-faith removal or disabling of content to the extent permitted by law. We accommodate, and do not interfere with, standard technical measures. We do not promise advance review or certify that content is lawful.
7. Fees and subscriptions
Price, billing interval, automatic renewal, trial terms, cancellation method, refund rules, and material limits are disclosed before purchase and are part of the agreement. Stripe or another processor may process payments. Cancellation ends paid access at the end of the paid period unless the checkout disclosure says otherwise. Paying fees does not purchase any copyright license. Mandatory consumer protections prevail over conflicting terms.
8. Availability; backups
The service is provided "as available" to the extent law permits. Keep your own copies. We may restrict access for security, maintenance, abuse, or legal compliance. We do not guarantee uninterrupted service, revenue, audience, or permanent preservation.
9. Enforcement and termination
We may remove content, restrict functionality, suspend accounts, or terminate access for violations, infringement, fraud, security risks, or legal requirements. Except where prohibited or unsafe, we will notify affected users; for copyright removals, the counter-notification process in the Copyright Policy applies. Provisions that by nature survive termination will survive.
10. Disclaimers and liability limits
To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement. We are not liable for indirect, special, incidental, consequential, or punitive damages, or for lost revenue, data, or opportunities. Our aggregate liability arising from the service will not exceed the greater of $100 or the amounts you paid us in the 12 months before the claim. Nothing excludes liability for fraud, willful misconduct, gross negligence, or anything else the law does not allow us to limit.
11. Indemnification by commercial users
To the fullest extent permitted by law, any artist, label, DJ, producer, or other user who uploads content (a "Commercial User") will defend, indemnify, and hold harmless Company and its personnel from third-party claims, damages, judgments, settlements, and reasonable attorneys' fees arising from that user's content, unauthorized use of rights, material misrepresentations, or violation of these Terms, except to the extent caused by Company's independent wrongful conduct. Company will give reasonably prompt notice and allow reasonable participation in the defense. Settlements that admit fault for, or impose nonmonetary obligations on, Company require Company's consent, not unreasonably withheld. This section does not apply to ordinary consumers where the law prohibits it.
12. Disputes; governing law
New York law governs, except where mandatory law requires otherwise. Subject to mandatory jurisdictional rights, Commercial Users consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York. Before suing, either party may send a written dispute notice and allow 30 days for informal resolution, unless urgent injunctive relief or a filing deadline makes that impracticable. These Terms impose no arbitration requirement or class-action waiver.
13. Changes; notices; severability
We will give advance notice of material changes where required and obtain fresh assent where legally necessary. You consent to receive notices electronically at your account email. You may not assign these Terms without our consent; we may assign them in a merger, sale, or reorganization. Invalid provisions are severed only to the extent necessary. These Terms, the Artist Agreement (where applicable), the Copyright Policy, Repeat-Infringer Policy, Community Rules, Privacy Policy, and checkout terms are the whole agreement; the more specific document controls in a conflict.
