Version 2.0 · Effective November 7, 2026 · 1919 Productions LLC, doing business as The Tape Stop
This is an archived version kept for reference. Read the current version (2.1).
This Artist Upload & Content Distribution Agreement ("Agreement") is a legally binding agreement between the individual or entity uploading content ("Artist," "Uploader," or "User") and 1919 Productions LLC, the operator of TapeDrop (the "Platform") ("Company," "we," "us," or "our").
By creating an artist account, uploading content, or selecting "I Agree," the Artist accepts this Agreement and the Platform's applicable Terms of Service and Privacy Policy.
1. Nature of the Platform
The Platform provides technology enabling independent artists, DJs, producers, and other users to upload, store, organize, stream, and share audio recordings, mixtapes, artwork, and related materials.
Content is submitted at the direction of users. The Company does not become the owner, record label, publisher, or distributor of any uploaded work merely by providing these services.
Where available, users may share content through public profiles, private links, restricted access, or other user-controlled sharing features.
The Company does not guarantee that any upload or distribution is lawful and reserves the right to restrict or remove content.
2. Ownership and Responsibility
Artists retain ownership of their original content.
Each Artist is solely responsible for determining whether they possess the rights and permissions necessary to upload, reproduce, stream, distribute, publicly perform, or otherwise make their content available through the Platform.
The Artist represents and warrants that:
- They own the uploaded content or possess all necessary permissions and licenses.
- They have obtained required authorization from applicable copyright owners, publishers, record labels, producers, performers, and other rights holders.
- Their content does not unlawfully infringe copyrights, trademarks, publicity rights, privacy rights, or other legal rights.
- Their submitted ownership information and rights declarations are accurate.
- They have authority to enter into this Agreement.
The Company does not independently certify an Artist's ownership or licensing claims.
3. Mixtapes, Remixes, Samples, and Third-Party Recordings
The Platform recognizes mixtape culture, DJ creativity, independent music production, and collaborative music sharing.
However, uploading a mixtape, remix, DJ mix, freestyle over an existing instrumental, sampled recording, or other derivative work may require permission from multiple rights holders.
The Artist acknowledges that:
- Noncommercial or promotional distribution does not automatically eliminate copyright obligations.
- Crediting an original artist does not replace permission.
- Distributing content for free does not automatically make the distribution lawful.
- A private link or limited audience does not automatically authorize copying, streaming, or distribution.
- Describing material as a demo, mixtape, remix, or promotional recording does not establish legal authorization.
Artists must possess the necessary rights or have a valid legal basis for every use of third-party material.
4. User-Directed and Private Sharing
The Platform may provide user-directed sharing tools designed for collaboration, private listening, demonstrations, and music discovery.
Artists determine which eligible sharing features to use and whom to invite to access their content.
The Platform's role is to provide technical functionality for user-directed storage, transmission, and playback.
No sharing feature grants the Artist rights in third-party works or creates an exemption from applicable copyright law.
Users must not employ private sharing, access restrictions, or peer-to-peer functionality to facilitate unlawful copying or distribution.
5. Limited License to the Company
By uploading content, the Artist grants the Company a nonexclusive, worldwide, royalty-free license, for the period the content is hosted and for a reasonable technical wind-down period, to store, reproduce, transcode, transmit, stream, display, and otherwise process that content solely as necessary to operate, maintain, secure, and provide the Platform's services and the sharing options selected by the Artist.
This license includes necessary technical processing by authorized hosting, storage, content-delivery, and infrastructure providers acting on the Company's behalf.
The Company does not acquire ownership of the Artist's music.
The Artist represents that they possess authority to grant this license and that doing so does not violate any third-party agreement or right.
6. Copyright Complaints and DMCA Compliance
The Company respects intellectual property rights and maintains procedures for receiving and addressing copyright infringement notifications under applicable law, including the Digital Millennium Copyright Act ("DMCA").
Copyright owners or authorized representatives may submit notices to the Company's designated copyright agent.

A copyright notice should identify the copyrighted work, the allegedly infringing material and its location, the complainant's contact information, required good-faith and accuracy statements, and a physical or electronic signature.
The Company may expeditiously remove or disable access to allegedly infringing content upon receiving a valid notice or otherwise obtaining legally relevant knowledge of infringement.
Where appropriate, affected users may submit a legally compliant counter-notification.
The Company will administer counter-notifications and potential restoration of material in accordance with applicable law.
7. Repeat Infringer Policy
The Company maintains a policy providing for termination, in appropriate circumstances, of accounts belonging to repeat copyright infringers.
Depending on the circumstances, the Company may:
- Remove or disable access to content.
- Restrict uploading or sharing privileges.
- Suspend an account pending investigation.
- Terminate an account for repeated infringement.
- Prevent terminated users from creating replacement accounts.
The Company may consider the nature, frequency, and credibility of infringement reports, counter-notifications, and other relevant information when applying this policy.
8. No Prior Approval or Guarantee of Legality
The Company is not obligated to conduct a comprehensive legal review of every uploaded work before making it available.
Automated screening, metadata checks, moderation, or other review procedures, if used, do not constitute legal clearance, licensing approval, or a guarantee that content is noninfringing.
The Company reserves the right to investigate, restrict, remove, or disable content consistent with applicable law.
9. Artist Indemnification
To the fullest extent permitted by applicable law, the Artist agrees to defend, indemnify, and hold harmless the Company, its affiliates, officers, directors, employees, contractors, and authorized service providers from third-party claims, damages, liabilities, judgments, settlements, and reasonable legal expenses arising from:
- Content uploaded, distributed, or made available by the Artist.
- Alleged or actual infringement of copyright or other intellectual property rights by the Artist's content.
- The Artist's failure to obtain required licenses or permissions.
- Material misrepresentations concerning ownership or authorization.
- The Artist's breach of this Agreement or applicable law.
The Company will provide reasonably prompt notice of covered claims, subject to applicable law, and will not agree to a settlement imposing nonmonetary obligations on the Artist without the Artist's consent, not to be unreasonably withheld.
This provision does not require the Artist to indemnify the Company for liability arising solely from the Company's independent unlawful conduct.
10. Limitation of Liability
To the fullest extent permitted by applicable law, the Company shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the use of the Platform, including lost profits, business opportunities, or data.
To the fullest extent permitted by law, the Company's aggregate liability arising from or related to this Agreement shall not exceed the greater of (a) amounts paid by the Artist to the Company during the 12 months preceding the event giving rise to the claim or (b) $100.
These limitations do not apply where prohibited by law and do not exclude liability that cannot lawfully be limited.
11. No Guarantee of Availability
The Platform is provided on an "as available" basis.
The Company does not guarantee uninterrupted access, permanent hosting, preservation of uploaded files, or any particular audience, number of streams, or commercial outcome.
Artists are responsible for maintaining independent backup copies of their content.
Nothing in this section excludes warranties that cannot lawfully be disclaimed.
12. Payments and Subscriptions
Where paid artist accounts, storage plans, or promotional services are offered, the Artist agrees to the applicable pricing, billing, renewal, cancellation, and refund terms disclosed at checkout.
Payment for Platform services does not purchase copyright permissions or authorize uploading third-party content.
The Company may suspend or terminate paid services in accordance with its published policies and applicable law.
13. Account Termination and Content Removal
Artists may request account closure or content deletion using the Platform's available controls.
The Company may restrict or terminate accounts for material breaches, unlawful activity, repeated infringement, security threats, or other grounds specified in its Terms of Service.
Following termination, content may remain temporarily in backups, compliance records, or other systems where retention is reasonably necessary or legally required.
14. Governing Law and Disputes
This Agreement shall be governed by the laws of the State of New York, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Subject to mandatory legal requirements, disputes arising from this Agreement shall be brought before courts of competent jurisdiction located in New York County, New York.
Nothing in this Agreement limits rights or remedies that cannot lawfully be waived.
15. Electronic Acceptance
By selecting the acceptance checkbox and submitting content, the Artist confirms that they:
- Have read and understood this Agreement.
- Own or have obtained the necessary rights to their uploaded content, or have another valid legal basis for its use.
- Understand that private or promotional sharing does not automatically exempt content from copyright law.
- Accept responsibility for the content they upload.
- Agree to the Company's copyright enforcement and repeat-infringer policies.
- Agree to the indemnification and other applicable contractual provisions.
Each acceptance is recorded with the Artist account, the Agreement version, and the date and time of acceptance.
